Affiliate Program Agreement

This Affiliate Program Agreement (“Agreement”) is made and entered into on the date of acceptance by the Affiliate, by and between [Fashion Store Name] (“Fashion Store”), and [Affiliate Name] (“Affiliate”), collectively referred to as the “Parties”.

1. Definitions 1.1 “Affiliate” means a party who participates in the Fashion Store’s affiliate program. 1.2 “Affiliate Site” means the website or online platform owned or operated by the Affiliate that displays or promotes Fashion Store’s products or services. 1.3 “Commission” means the compensation paid by Fashion Store to Affiliate as set forth in Section 4 of this Agreement. 1.4 “Intellectual Property” means any and all trademarks, service marks, copyrights, patents, trade secrets, and other proprietary rights and interests. 1.5 “Product” means any product or service offered by Fashion Store. 1.6 “Program” means the Fashion Store’s affiliate program.

2. Enrollment 2.1 To enroll in the Program, Affiliate must submit an application through the Fashion Store’s website. 2.2 Fashion Store reserves the right to reject any application for any reason.

3. Affiliate Obligations 3.1 Affiliate agrees to promote Fashion Store’s products or services on Affiliate Site. 3.2 Affiliate must comply with all applicable laws, regulations, and guidelines, including without limitation, the EU General Data Protection Regulation and the UK Data Protection Act 2018. 3.3 Affiliate agrees not to use any fraudulent or deceptive marketing practices to promote Fashion Store’s products or services. 3.4 Affiliate is solely responsible for the content and operation of Affiliate Site, and Fashion Store shall have no liability for any content or operation of Affiliate Site. 3.5 Affiliate agrees not to engage in any activities that may damage the reputation or goodwill of Fashion Store.

4. Commission 4.1 Fashion Store will pay Affiliate a commission on each sale made through Affiliate Site. 4.2 The commission rate will be as agreed upon by the Parties and may be modified by Fashion Store at any time. 4.3 Fashion Store will provide Affiliate with reports on sales and commissions earned on a monthly basis. 4.4 Affiliate shall be responsible for paying all applicable taxes on commissions earned.

5. Intellectual Property 5.1 Fashion Store owns all Intellectual Property rights in and to its products and services. 5.2 Affiliate agrees not to use any Fashion Store Intellectual Property except as expressly authorized by Fashion Store in writing. 5.3 Affiliate shall not register or attempt to register any trademarks or domain names that are confusingly similar to any Fashion Store trademarks.

6. Termination 6.1 Either Party may terminate this Agreement at any time for any reason upon written notice to the other Party. 6.2 Upon termination, Affiliate shall immediately remove all Fashion Store content from Affiliate Site and cease promoting Fashion Store’s products or services. 6.3 Sections 3.4, 4, 5, 6.2, and 7 shall survive termination of this Agreement.

7. Limitation of Liability 7.1 Fashion Store shall not be liable for any damages arising out of or in connection with this Agreement, whether in contract, tort, or otherwise. 7.2 Fashion Store’s total liability to Affiliate under this Agreement shall not exceed the total commissions paid by Fashion Store to Affiliate under this Agreement.

8. Governing Law and Jurisdiction 8.1 This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. 8.2 Any disputes arising out of or in connection with this Agreement shall be resolved by the courts of the United Kingdom.

9. Entire Agreement 9.1 This Agreement constitutes the entire agreement between the Parties and supersedes all prior and contemporaneous
